1. Investment Risk Disclosure & Disclaimer

1.1. High-Risk Investment: Investments in film and media projects are speculative and involve significant risk, including the potential loss of the entire investment. There is no guarantee of profits or returns.

1.2. No Financial Advice: Starsphereusa.com is an investment platform, not a financial advisor. The content is for informational purposes only. You must consult with your own professional advisors before investing.

1.3. Accredited Investor Status: Access is restricted to Accredited Investors and institutional partners, as defined by applicable securities laws. You warrant that you meet the eligibility criteria.

2. User Obligations

2.1. Accuracy of Information: You agree to provide accurate, current, and complete information during registration and during any Know Your Customer (KYC) or accreditation verification processes.

2.2. Unauthorized Use: You are responsible for all activities under your account and must notify Starsphereusa immediately of any unauthorized use.

3. Investment Tiers and Commitments

3.1. Tiers: The Platform offers multiple investment tiers (e.g., Prime, Executive, Premium, etc.), each requiring specific investment amounts and targeting specific financial outcomes.

3.2. Contractual Agreement: Every investment is subject to a separate, legally binding Subscription Agreement specific to the film project. The Subscription Agreement terms supersede these general Terms.

3.3. Funding: Funds committed to an investment become irrevocable upon the closing of the project’s funding round and execution of the Subscription Agreement.

5. Refund Policy

5.1. Non-Refundable Investments: Due to the nature of capital commitments in film production, all executed investments and committed funds are non-refundable. Funds are immediately allocated to production costs and are therefore illiquid, as per Section 4.

5.2. Exceptions: Refunds are only available in the event of: (a) a failed funding transaction (e.g., payment processed twice, or payment failed to settle into the holding account); (b) the project fails to meet its minimum funding goal and the funding round is officially cancelled; or (c) as required by mandatory regulatory or legal requirements.

6. Termination, Account Deletion, and Data Retention

6.1. Platform Termination: Starsphereusa reserves the right to suspend or terminate your access to the Platform at any time, without notice, for conduct that violates these Terms or for business reasons.

6.2. Account Deletion Request: You may request deletion of your account at any time by contacting support@starsphereusa.com. Upon request, Starsphereusa will deactivate your public-facing account and remove all non-essential personal data.

6.3. Data Retention for Investment Records: Notwithstanding account deletion, Starsphereusa is legally required to retain all Financial Data and KYC/AML documentation related to any active or past investment, for a period determined by securities and anti-money laundering regulations. This retention period typically lasts 5–7 years after the final distribution of capital for the associated project.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of The State of California, USA, without regard to its conflict of law provisions. Any dispute arising out of these Terms shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.

8. Data Collection and Use

8.1. Personal Data: We collect information you voluntarily provide, including your name, email, phone number, and mailing address.

8.2. Financial and Accreditation Data: For investment purposes, we collect sensitive financial data, tax identification numbers, and KYC documentation necessary to verify your identity and Accredited Investor status. This data is handled with the highest security.

8.3. Usage Data: We automatically collect data about your interactions with the Platform, including IP address, device type, and browser information.

9. Use of Collected Data

Your data is used solely for the following purposes:

• Processing, tracking, and managing your investments.
• Fulfilling regulatory requirements, including KYC and AML (Anti-Money Laundering) checks.
• Communicating with you regarding your investments and Platform updates.
• Improving the functionality and security of the Platform.

10. Data Sharing and Disclosure

We will not sell your personal data. We may share your data only with the following third parties:

• Regulatory Authorities: As required by law, to comply with legal processes.
• Service Providers: Third-party partners who perform essential functions on our behalf (e.g., identity verification services, payment processors). These parties are contractually bound to keep your information confidential.

11. Data Security

We implement robust security measures, including encryption and two-factor authentication, to protect your personal and financial data. However, no security system is impenetrable, and we cannot guarantee 100% security of information transmitted over the Internet.

12. Your Rights

You have the right to access, correct, or request deletion of your personal data, subject to the legal and regulatory retention requirements mentioned in Section 6.3.
